Pizzeria Uno does not offer exclusive territories to franchisees under the Development Agreement. Each Uno Restaurant's territory will be specified in Exhibit A of the Development Agreement, typically defined by boundary streets, highways, city or county lines, state borders, specific radius, or population range, among other methods.
While franchisees will have a designated territory, it will not be exclusive. Franchisees may encounter competition from other franchisees, company-owned locations, or alternative distribution channels or competitive brands managed by Pizzeria Uno. Under the Development Agreement, Pizzeria Uno and its affiliates reserve the right to maintain existing Uno Restaurants within the franchisee's territory that were established prior to the agreement's execution.
Additionally, Pizzeria Uno and its affiliates retain the right to engage in various activities, such as advertising and promoting Uno Restaurants, establishing alternative distribution sites (e.g., smaller food service facilities, in-room hotel dining, theater concessions, co-branded locations), and selling products and services under the Proprietary Marks or other marks, regardless of the competitive impact on the franchisee's Uno Restaurants within the territory.
